Companies Act, 2013 – Sections 210, 211, 212, 213 – The Original Side Appeals (OSAs) were filed by the Administrator appointed to administer Zylog Systems Limited, challenging an order of the Company Court that directed the Serious Fraud Investigation Office (SFIO) to conduct a detailed enquiry into the company’s affairs.
The Company Court’s decision stemmed from allegations of fund diversion to foreign subsidiaries and other misfeasance, noting ongoing proceedings against the company by various agencies like SEBI, CBI, and ED. The Administrator argued that the Company Court lacked the statutory authority under Section 212 of the Companies Act, 2013, to directly refer the matter to the SFIO, as such referrals are typically initiated by the Central Government.
The Court examined Sections 210 to 213 of the Companies Act, 2013, emphasizing that while the Central Government primarily directs investigations by the SFIO, Section 210(2) mandates the Central Government to order an investigation when a Court or Tribunal requires it.
